Warranty – Programmable Controllers (PLC)

Subject to the terms and conditions of this Limited Product Warranty, Mitsubishi Electric Automation, Inc. (“MEAU”) warrants Mitsubishi Electric programmable controllers and related automation products purchased directly from VFD Direct by the original purchaser (“Customer”).

VFD Direct administers all warranty communications, documentation, preliminary technical evaluations, and Return Material Authorization (“RMA”) requests for its customers. Customers must contact VFD Direct and must not return any Product without prior written authorization and shipping instructions from VFD Direct.

Product Definition

For purposes of this Limited Product Warranty, a “Product” means an eligible Mitsubishi Electric programmable controller or related automation hardware purchased directly from VFD Direct and not covered by a separate written warranty.

Warranty Period

Products are warranted for:

• Thirty-six (36) months from installation at the premises of the original end user; or
• Forty-two (42) months from shipment by MEAU, whichever occurs first.

Proof of purchase and documentation establishing the installation date may be required. When the installation date cannot be verified, warranty eligibility may be calculated from the applicable shipment or manufacturing records.

Warranty Coverage

During the applicable Warranty Period, a Product determined by MEAU to have failed because of defective materials or workmanship may, at MEAU’s option:

• Be repaired at an authorized location; or
• Be replaced with an equivalent Product.

Replacement equipment or components may be new or functionally equivalent reconditioned equipment. Products replaced under warranty become the property of MEAU.

MEAU may make Product changes or substitutions it considers necessary without prior notice, provided that the replacement is functionally equivalent.

This Limited Product Warranty does not include on-site service or repair.

Labor and Related Expenses

This Limited Product Warranty does not cover labor or expenses associated with:

• Troubleshooting or diagnostic services;
• Preventive maintenance;
• Removal or disconnection of the Product;
• Installation or reinstallation;
• Programming or commissioning;
• Compliance with electrical, building, or safety codes;
• Shipping, handling, customs, taxes, or expedited transportation;
• Equipment rental, downtime, loss of production, or related expenses.

The Customer is responsible for all labor and other costs associated with owner-required maintenance, installation, removal, replacement, disconnection, or dismantling of the equipment.

Installation and Operating Requirements

Warranty coverage applies only when the Product has been:

• Properly selected and sized for its intended application;
• Installed in accordance with applicable laws and electrical codes;
• Installed, programmed, and operated according to the manufacturer’s instructions;
• Applied within its published electrical, mechanical, and environmental ratings; and
• Installed using accepted professional trade practices.

Warranty Exclusions

This Limited Product Warranty does not apply to:

• Products not purchased directly from VFD Direct;
• Products with altered, defaced, missing, or unreadable serial numbers;
• Damage occurring during transportation, handling, or improper storage;
• Incorrect Product selection, installation, wiring, programming, configuration, commissioning, or operation;
• Misuse, abuse, neglect, accident, or use outside the Product’s intended application;
• Unauthorized repair, alteration, modification, or disassembly;
• Excessive physical, mechanical, or electrical stress;
• Abnormal temperature, humidity, vibration, elevation, contamination, or other improper environmental conditions;
• Water, moisture, corrosion, dust, chemicals, conductive particles, insects, or foreign materials;
• Improper grounding, inadequate circuit protection, or incorrect power supply;
• Power surges, lightning, voltage fluctuations, phase loss, interruptions, electrical noise, or other power-quality conditions;
• Fire, flooding, natural disasters, force majeure, or circumstances outside the manufacturer’s reasonable control;
• Failure of equipment, components, wiring, communications networks, software, batteries, or accessories not supplied with the Product;
• Normal wear or preventive-maintenance items, including fuse or battery replacement and cleaning;
• Problems caused by inadequate maintenance, improper cleaning, incorrect programming, or improper operating procedures;
• Service requests where no Product defect is found;
• Product installation, system setup, programming, commissioning, or adjustment of controls.
• Because the machinery or system in which the Product operates may be designed, supplied, programmed, or integrated by third parties, neither MEAU nor VFD Direct is responsible for the operation, availability, performance, or loss of use of that machinery or system.

Exclusive Remedy and Limitation of Liability

Repair or replacement, as determined by MEAU, constitutes the Customer’s exclusive remedy for a covered Product defect.

Except for the warranty expressly described above, no additional express or implied warranty is provided, including any implied warranty of merchantability or fitness for a particular purpose, to the maximum extent permitted by law.

Neither MEAU nor VFD Direct shall be liable for indirect, incidental, special, punitive, or consequential damages, including:

• Lost profits or revenue;
• Lost production or business interruption;
• Loss of use;
• Replacement-equipment costs;
• Work stoppage or service downtime;
• Removal or reinstallation expenses;
• Impairment or damage to other equipment;
• Loss of data or programs; or
• Injury to persons or property arising from or related to the Product.

To the maximum extent permitted by law, any liability associated with a Product shall not exceed the actual purchase price paid for that Product.

Some states do not permit certain warranty limitations or exclusions of damages. Therefore, some provisions above may not apply to every Customer. Customers may also have additional rights that vary by state.

Technical advice, information, or assistance provided by MEAU or VFD Direct does not enlarge, extend, or modify this Limited Product Warranty.

Warranty Claim Procedure

All warranty claims for Products purchased from VFD Direct must be initiated directly through VFD Direct.

To begin a claim, the Customer must provide:

• VFD Direct order number or proof of purchase;
• Photograph of the complete Product nameplate;
• Product model and serial number;
• Detailed description of the reported failure;
• Photographs of the installation and wiring;
• PLC system configuration and installed modules;
• Power-supply voltage measurements;
• Error codes, diagnostic-buffer information, and LED status;
• Relevant program, parameter, and configuration information when requested;
• Description of any connected equipment or communications network; and
• Any additional information requested during the technical evaluation.

VFD Direct may conduct preliminary troubleshooting and request additional documentation before submitting the claim for manufacturer evaluation.

Submission of the requested information does not constitute automatic warranty approval. Final warranty eligibility and the appropriate remedy remain subject to technical evaluation and approval by MEAU.

Customers should preserve the PLC program, parameters, and configuration files whenever possible. Neither MEAU nor VFD Direct is responsible for the loss, recovery, reconstruction, or reinstallation of programs, parameters, data, or configuration files.

Return Material Authorization

A Product must not be returned until VFD Direct has issued written return instructions and confirmed the applicable RMA number.

Products returned without an authorized RMA, shipped to an incorrect location, or shipped contrary to the provided instructions may be refused and returned at the sender’s expense.

Unless otherwise stated in writing:

• The Customer must ship the Product prepaid to the authorized location;
• The Product must be properly packaged to prevent transportation damage;
• The RMA number must appear clearly on the shipping documents and packaging;
• Removable accessories not requested for evaluation should not be included;
• The Customer remains responsible for damage caused by inadequate packaging.

If MEAU determines that the failure is covered by this Limited Product Warranty, the Product will be repaired or replaced according to the applicable warranty terms.

If no defect is found or the failure is determined not to be covered, VFD Direct will inform the Customer of the evaluation results and any available repair or replacement options and associated costs. MEAU’s determination regarding warranty coverage is final.

No credit or reimbursement will be issued for repairs, labor, replacement equipment, or services performed by third parties unless specifically authorized in writing before the work is performed.

Dispute Resolution

Any dispute concerning the manufacturer’s warranty will be handled according to the dispute-resolution provisions established by MEAU, including any applicable informal-resolution, arbitration, jurisdiction, or notice requirements.

The Customer must initially contact VFD Direct with the details of the dispute. VFD Direct will provide the applicable instructions and coordinate communications with MEAU as required.

Nothing in this section eliminates any legal right that cannot lawfully be waived under applicable federal or state law.

VFD Direct will coordinate the claim and communicate with the manufacturer as required. Customers must not ship or return any Product until written instructions have been received from VFD Direct.

Additional Terms

Warranty procedures may be updated when required by the manufacturer. No modification or waiver of these warranty provisions is valid unless confirmed in writing by an authorized party.

If any provision is determined to be illegal or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

This Limited Product Warranty gives the Customer specific legal rights, and the Customer may have other rights that vary by jurisdiction.
